WillisGSD and all associated documentation, assets, and source materials (collectively, the "Software") are the proprietary and confidential property of Lacy Digital Labs, LLC. All intellectual property rights in the Software are owned by Lacy Digital Labs, LLC and are protected by United States and international copyright, trademark, and other intellectual property laws.

Getting Things Done® and GTD® are registered trademarks of the David Allen Company. References to "Getting Things Done", "GTD", or the methodology popularized by David Allen are made for descriptive purposes only (nominative fair use). WillisGSD and Lacy Digital Labs, LLC are not affiliated with, endorsed by, sponsored by, or otherwise connected to the David Allen Company. All other product, service, and company names referenced are trademarks or registered trademarks of their respective owners.

2. License Grant

Subject to your compliance with this license and any applicable platform End User License Agreement, Lacy Digital Labs, LLC grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Software on devices that you own or control.
• Use the Software for your personal or internal business purposes.
• Create local backups of your own data files for your own use.

3. Restrictions

You may not, and may not permit anyone else to:

• Copy, modify, adapt, translate, or create derivative works of the Software.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent that such activity is expressly permitted by applicable law.
• Distribute, sublicense, lease, rent, loan, sell, or otherwise transfer the Software to any third party.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software.
• Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.
• Circumvent or disable any security or access-control features of the Software or the platform on which it is distributed.

4. Platform Distribution Terms

WillisGSD is distributed through the Apple App Store, Microsoft Store, Google Play, and other platforms. Use of the Software obtained through any such platform is also governed by the applicable platform's End User License Agreement and terms of service. In the event of a conflict between this license and a platform's standard End User License Agreement for app store purchases, the platform's terms shall apply with respect to that platform's distribution and billing, and this license governs all other matters of intellectual property and use.

5. Updates and Support

Lacy Digital Labs, LLC may, at its discretion, provide updates, upgrades, or new versions of the Software. Any such updates, when provided, are governed by this license unless accompanied by a separate license agreement. We are under no obligation to provide updates, support, or maintenance for the Software.

6. Your Data

WillisGSD stores your data in a local SQLite database file on your device. You retain all rights to the data you create with the Software. Lacy Digital Labs, LLC does not collect, transmit, or have access to your data. See the Privacy Policy for details.

7. Termination

This license is effective until terminated. Your rights under this license will terminate automatically and without notice from Lacy Digital Labs, LLC if you fail to comply with any term of this license. Upon termination, you must cease all use of the Software and destroy all copies of the Software in your possession or control. Termination does not affect any rights or obligations that accrued prior to termination, nor does it affect your data, which remains on your device.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LACY DIGITAL LABS, LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA STORED OR PROCESSED BY THE SOFTWARE WILL NOT BE LOST OR CORRUPTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LACY DIGITAL LABS, LLC, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE, INCLUDING BUT NOT LIMITED TO ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Governing Law

This license shall be governed by and construed in accordance with the laws of the United States and the State of Kansas, where Lacy Digital Labs, LLC is organized, without regard to its conflict-of-laws principles. Any dispute arising under this license shall be resolved in the courts of competent jurisdiction located in the State of Kansas.

11. Severability

If any provision of this license is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible and the other provisions will remain in full force and effect.

12. Entire Agreement

This license, together with any applicable platform End User License Agreement and the WillisGSD Privacy Policy, constitutes the entire agreement between you and Lacy Digital Labs, LLC regarding the Software and supersedes all prior or contemporaneous understandings.
